CONSTITUTION

PREAMBLE

We the members  of this group, in order to maintain how we run our group affairs,do ordain and establish this CONSTITUTION for the government of our group

ARTICLE I. NAME

SECTION 1. The name of  this organization shall be FRIENDS ONE MAN VILLAGE hereafter referred to as GROUP

SECTION 2  This group shall use the name in all publicity, materials or correspondence.

SECTION 3. No person, group or organization may use the name of this group without the prior written approval of the chairman or his or her designee

SECTION 4   The Chairman ,  Secretary. Treasurer shall make up the EXECUTIVE BOARD of this group hereafter referred to as the BOARD

SECTION 5 The board shall convene every every meeting and administer the day to day activities of the group

ARTICLE 2. PURPOSE

SECTION 1   The purpose of this group shall be

To meet every last Sunday of the month at a venue decided by the board to discuss welfare of members and other matters arising

2.   To raise a compulsory monthly contribution hereafter referred to as contribution  of #5000 (five thousand naira only)  from every member

3. ,At every general meeting,part of the contribution shall be given to a member while part shall go to the treasury

4  To raise other compulsory funds for the purpose of assisting a member.

5.  To assist any member financially who has suffered a direct mishap provided such mishap is approved by a two third of the members and accented by the chairman

6.  To honor an invitation by a member for the purpose of celebrating or identifying with the member

SECTION 2 The  board shall convene every meeting and administer the day to day activities of the group

ARTICLE 3 MEMBERSHIP

SECTION I  The general body of this group must be comprise of at least two third of the entire members

SECTION 2  Membership in this group shall be open to any one who’s interested  in becoming a member of this group The group shall not discriminate on the basis of age religion and sex

Such member must be working or have a legal source of income and financially capable of paying his contribution as at and when due

Members must be resident within the jurisdiction of the group and must personally attain every constituted meetings.

3. A member is considered to be in good standing if he or she meet the condition of ARTICLE 2 SECTION I SUBSECTION 2,4 & 5. of this constitution

4. Any member who failed to attend meeting without prior notice and approval from the BOARD shall be liable to a fine of #1000 (One thousand naira only). payable on the next meeting Any member who came late to the meeting without prior notice and approval from the board shall be liable to a fine of #500(five hundred naira only) payable on arrival

5. On account of misdemeanor or misbehavior during the meeting the offending member shall be fine #1000(One thousand naira only) provided such misdemeanor or misbehavior is agreed upon by the general body of the group and approve by the chairman

6 Every member of this group shall be privy and entitled to the privileges and entitlement of  ARTICLE 2 , SECTION 1 SUBSECTION 1. to 6 of this constitution

7 New members can only be accepted by a two third majority of the general body of the group

SECTION 3 Any member who who failed to comply with disciplinary actions of the board  may  have his membership revoke from the group without any compensation.

SECTION 4 Any member who has benefited from the contribution and decided to discontinue his or her membership shall first remit all his outstanding contribution to the group otherwise the board will use all legal means possible to recover the contribution including seizure of properties

B. Any member who left the meeting for whatever reason shall forfeit all his benefits to the meeting

SECTION 5 any aggrieved member has a right to appeal to general body of this group  and be given a fair hearing

ARTICLE 4. MEETING

SECTION I. There shall be a general meeting every last Sunday of the month at a venue which will be determined by  the board.  The board shall be the convener of every meeting

SECTION 2. There shall be an  ANNUAL GENERAL GENERAL MEETING hereinafter refer to as AGM every last Sunday of December at a venue which will be determined by the board.  Election of officers will be conducted during every AGM

SECTION 3. A two third of the members present at the meeting shall constitute a quorum for policy decision. A two third of those voting shall constitute an affirmative vote of the board. Each member shall be entitled to one vote and the vote of the majority of the members present at any meeting at which there is a quorum shall be sufficient to establish a policy decision

SECTION 4  The shall be a monthly contribution of #5000(five thousand naira only) which is compulsory on every member

I  there shall be other dues which will be raise to assist a member  as determined by the board in a general meeting which is compulsory on every member

SECTION 5  At the end of every monthly meeting the treasurer, from the group funds, shall hand over the contribution to the benefiting member and also takes care of entertainment during the meeting

SECTION    Should there be a deficit in that month contribution, then the treasurer shall from the group treasury make up for the deficit

I  The board have the right to convene an emergency meeting

ARTICLE 5  LEADERSHIP

SECTION I. The elected officers of this group shall include:

1.  CHAIRMAN  The chairman is the head and leader of the group and convener of every meeting as well as the face and spokesperson of the group.

2.  SECRETARY The Secretary shall be be responsible for taking minutes, correspondence and publicity and other duties that may be assigned to him by the board

3. TREASURER  The treasurer shall be the custodian of all group funds and shall produce same within 48 hours upon the directive of the board

SECTION 2. Other appointed leaders of this group shall include

1. PROVOST. With the approval of the chairman, the provost Shall be responsible for maintaining decorum and carrying out disciplinary measures on members  as well as collection of fines

2. ASSISTANT TREASURER. Shall assist the treasurer

3. STANDING COMMITTEE CHAIRMAN. Shall Head the standing committee

4. ADVISOR  Shall be the grand patron of the group

SECTION 3 Any member  considering an elected officer position must read the duties of that position in the constitution and/ or shadowing the current officer for a minimum period of one year

1.  Any member nominated must be in good standing with the group.

2. Any member nominated must be present at the time of nominations

3.  Any member nominated for the post of Chairman, Secretary, Treasurer must verify that they  must  be committed to a full term of office as outlined in section 5.  They must also be civil or public servant on grade level 9 or a business owner with a capital value of not less than one million naira only

4. Nominations shall hold  one month before election

5. Nominations must be formally accepted by the nominee and noted in the minutes.  Once accepted the board will verify qualification ( listed above)  and bring that information to the general body prior to the election

6. The board have the right to disqualified a nominee

SECTION 4. ELECTION will be conducted by paper ballots, facilitated by the chairman and assisted by the Advisor/Grand patron.  If the chairman is running for a particular office then that specific vote will be facilitated by another member of the board

1   At least two third of the general body must be present before an election is conducted

2. Officers will be chosen through a simple majority

SECTION 5 The term of office shall be one year

1 Elected officers shall be eligible to hold the same position not more than two times

ARTICLE 6   MANAGEMENT

SECTION I. The group shall be administered by the board hereafter refer to as management committee and not more than two other elected officers which will be chosen by the chairman

SECTION 2  The management committee shall meet at least once a month and the chairman shall chair every committee meeting

SECTION 3 The quorum for management committee meeting shall be  three members and voting in management committee meeting shall be by show of hand ,if there is a tied vote, the chairman shall have a second vote

SECTION 4 The management committee has the reserved right, to by a two third majority vote and on reasonable grounds remove any elected officials provided that the officer is granted the right to be heard

SECTION 5 The management committee has the right to appoint another member of the group as a committee member to filled up a vacant post provided the numbers hasn’t been exceeded

ARTICLE 7  BYLAWS

SECTION I. Bylaws of the group shall be established and amended by the board. At least two members of the board are required to form a quorum

SECTION 2 Bylaws of the management committee or standing committee shall be established and amended by the management committee.  At least three committee  members are required to form a quorum

SECTION 3  Bylaws shall in no way contradict any provisions of the constitution.  In case of any conflict with the constitution or contradiction the bylaw shall automatically be rendered void

ARTICLE 8 AMENDMENT

SECTION I  Amendment to the constitution shall be by a  two third vote of the general body of the group or a petition duly signed by not less than fifty percent of the entire members

SECTION 2 Adoption of the constitution amendments  shall be done during a general meeting or during A.G.M  lead by the group chairman provided a quorum is form

SECTION 3 At least two third  vote  of the general body of the group and the express consent of the chairman and advisor is required before amendment can be adopted

ARTICLE 9. RATIFICATION

SECTION I. This constitution shall be established by a vote of three fourth (3/4ths) majority of the group members

ARTICLE 10 INTERPRETATION

SECTION I  Questions  concerning the interpretation of the document shall be decided by the board and such decision shall be final and binding

ARTICLE 11 DISSOLUTION

SECTION I. The group shall creased to exit if is agreed upon by two third of the group members through a simple majority vote at any general meeting

SECTION 2 in case of winding  up all assets  remaining after all debts have been cleared shall be donated to another group of similar aims.

ARTICLE 12. ADOPTION
